These Terms of Service (the "Terms") govern your access
to and use of the AACSearch website, APIs, SDKs, developer tools, and
related services (collectively, the "Service"). By
accessing or using the Service, you agree to be bound by these Terms. If
you do not agree to all of these Terms, you may not access or use the
Service.
AACSearch Inc. ("AACSearch", "we", "us", or "our") is a Delaware
corporation with its principal place of business in San Francisco,
California. These Terms apply to all users of the Service, including
visitors, free-tier users, paying customers, and API consumers.
We reserve the right to update or modify these Terms at any time. If we
make material changes, we will notify you by email or through the
Service at least 30 days before the changes take effect. Your continued
use of the Service after the effective date of any changes constitutes
your acceptance of the updated Terms.
Binding Agreement
By using AACSearch, you enter into a legally binding agreement.
Please read these Terms carefully. If you are accepting these
Terms on behalf of a company or other legal entity, you represent
that you have the authority to bind that entity.
2. Account Registration & Security
To access certain features of the Service, you must create an account.
You agree to provide accurate, current, and complete information during
the registration process and to update such information as necessary to
keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your
account credentials, including your password and API keys. You are
fully responsible for all activities that occur under your account,
whether or not you authorized them. You must notify us immediately of
any unauthorized use of your account or any other breach of security.
You may not create accounts by automated means or under false or
fraudulent pretenses. Each account may only be used by a single
individual; shared or multi-user access requires an organization-level
plan. We reserve the right to suspend or terminate accounts that violate
these Terms or exhibit suspicious activity.
API Key Security
Your API keys grant full access to your account. Treat them like
passwords. Never share API keys in client-side code, public
repositories, or unsecured channels. Rotate keys immediately if
you suspect a compromise.
3. Services & Acceptable Use
AACSearch provides a cloud-based search and API infrastructure platform.
The Service includes Typesense-powered full-text search, AI-powered
semantic search, multi-tenant organization management, usage-based
billing, and related developer tools and SDKs.
You agree to use the Service in compliance with all applicable local,
state, federal, and international laws and regulations. When using the
Service, you must not:
Upload, index, or transmit any content that infringes on third-party
intellectual property rights or violates any law.
Use the Service to store, process, or transmit malware, viruses,
ransomware, or any other harmful code.
Attempt to bypass or circumvent any rate limits, authentication
mechanisms, security controls, or usage restrictions.
Reverse-engineer, decompile, disassemble, or otherwise attempt to
derive the source code of any part of the Service.
Use the Service in a manner that exceeds reasonable usage limits as
determined by AACSearch in its sole discretion.
Interfere with or disrupt the integrity or performance of the Service
or any third-party data contained therein.
We reserve the right to suspend or terminate access to the Service for
any user who violates these acceptable use terms, with or without notice.
4. Payments & Billing
Paid plans are billed on a usage-based model or flat-rate subscription
basis, as described on our pricing page. All fees are exclusive of
applicable taxes, including sales tax, VAT, GST, or similar transaction
taxes, which may be added to your invoice.
Payments are processed through our payment partner, Stripe. By providing
payment information, you authorize us (and Stripe) to charge the
applicable fees to the designated payment method on a recurring basis.
Fees are non-refundable except as required by law or as expressly stated
in your written service agreement with AACSearch.
Late payments may result in immediate suspension of access to the
Service. We will provide at least 7 days' written notice before
suspending service for non-payment. If payment remains outstanding for
more than 30 days beyond the due date, we may terminate your account.
We reserve the right to change our pricing upon 30 days' notice. Price
changes will not apply to current billing cycles for existing
subscription customers until the next renewal term.
5. Intellectual Property
As between you and AACSearch, you retain all right, title, and interest
in and to the data, content, and materials you upload, submit, or index
through the Service (your "Content"). AACSearch claims
no ownership over your Content.
You grant AACSearch a worldwide, royalty-free, non-exclusive license to
host, store, process, display, and transmit your Content solely to the
extent necessary to provide the Service. This license expires upon the
deletion of your Content from the Service, subject to technical
limitations and legal retention requirements.
The AACSearch name, logo, and product names are trademarks of AACSearch
Inc. All other trademarks, service marks, and trade names appearing on
the Service are the property of their respective owners. You may not use
any AACSearch trademark without our prior written consent.
The Service, including its underlying software, APIs, documentation, and
any modifications or derivative works, is the exclusive property of
AACSearch and its licensors. You may not copy, modify, distribute, sell,
or lease any part of the Service except as expressly permitted by these
Terms.
6. Termination
Either party may terminate these Terms at any time. You may stop using
the Service at any time by deleting your account through the dashboard
or by contacting us. We may suspend or terminate your access to the
Service at any time, with or without cause, upon written notice to you.
If we terminate your access for a material breach of these Terms that is
curable, we will provide at least 7 days' notice and an opportunity to
cure. For breaches that cannot be cured or that pose a security risk,
we may terminate immediately without notice.
Upon termination, your right to access the Service will cease
immediately. We will retain your data for 30 days following termination,
during which you may request a data export by contacting support. After
30 days, we will permanently delete your data in accordance with our
Privacy Policy, unless legal or regulatory obligations require
otherwise.
The following provisions shall survive any termination of these Terms:
Sections 4 (payment obligations accrued prior to termination), 5
(limitation of liability), 7 (governing law), and 8 (contact).
7. Limitation of Liability & Disclaimer
Disclaimer of Warranties. THE SERVICE IS PROVIDED ON AN
"AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND
COURSE OF DEALING OR USAGE OF TRADE. AACSearch does not warrant that the
Service will be uninterrupted, error-free, secure, or free of harmful
components.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED
BY APPLICABLE LAW, IN NO EVENT SHALL AACSearch OR ITS AFFILIATES,
OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT
NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE
LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF
OR INABILITY TO USE THE SERVICE.
Cap on Liability. AACSearch's TOTAL LIABILITY FOR ANY
CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE
AMOUNT PAID BY YOU TO AACSearch IN THE TWELVE (12) MONTHS PRECEDING THE
EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). Some
jurisdictions do not allow the exclusion or limitation of certain
damages, so these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless AACSearch and
its affiliates, officers, directors, employees, and agents from
and against any and all claims, liabilities, damages, losses, and
expenses arising out of or in connection with your use of the
Service, your violation of these Terms, or your infringement of
any third-party rights.
8. Contact & Governing Law
These Terms shall be governed by and construed in accordance with the
laws of the State of California, without regard to its conflict of law
provisions. Any disputes arising under these Terms shall be resolved
exclusively in the state or federal courts located in San Francisco,
California, and you consent to the personal jurisdiction of such courts.
